Terms & Conditions

1. Eligibility

• You must be at least 18 years of age to use Trade Gemini
• You must be a resident of India and eligible to trade in Indian financial markets
• You must have a valid, active broker trading account in your own name
• You are responsible for complying with all laws applicable to your trading activity

2. Services Provided

Trade Gemini provides a software platform that:

• Connects to your broker account via secure API credentials provided by you
• Executes automated intraday options trading strategies on your behalf
• Monitors positions and applies pre-set risk management rules (stop-loss, targets)
• Displays live and historical trade data on your personal dashboard

Trade Gemini does not provide investment advice, portfolio management, or SEBI-regulated research services. All trading activity is executed as per automated algorithms; past performance does not guarantee future results.

3. Account Registration & Security

• You must provide accurate, current, and complete information during registration
• You are responsible for keeping your login credentials confidential
• You must notify us immediately if you suspect unauthorised access to your account
• We are not liable for losses caused by unauthorised account access resulting from your failure to maintain credential security
• One account per person — multiple accounts by the same person are prohibited

4. Broker API Connection

• You voluntarily provide broker API credentials to enable automated trading
• You retain full ownership of your broker account and the funds within it
• Trade Gemini never receives, holds, or transfers your trading funds
• You are responsible for ensuring your broker API permissions are correctly configured
• You can revoke API access from your broker's portal at any time, which will disable automated trading
• We are not responsible for errors, delays, or rejections caused by your broker's systems

5. Platform Fees & Payments

• A free trial period is provided — no fee is charged on the first ₹1,000 of profit
• A platform fee of 2% of your stated capital is charged when a profit milestone (approximately 5–7% return) is reached
• Trading is paused automatically when a milestone is reached; it resumes after fee payment
• Fees are payable via the payment gateway integrated into the platform (UPI, Net Banking, Card)
• Fees are calculated based on the capital amount you declare during onboarding
• We reserve the right to change the fee structure with 30 days' notice to registered users

6. Refunds & Cancellations

Please refer to our Refund & Cancellation Policy for full details. In summary:

• Platform fees are generally non-refundable once trading services have been delivered
• Refunds are issued for duplicate payments or payments made due to technical errors
• All refund requests must be submitted to info.tradegemini@gmail.com

7. Risk Disclosure

Trading in options and derivatives carries substantial risk of loss. You may lose some or all of your invested capital. By using Trade Gemini, you acknowledge:

• Automated strategies are not guaranteed to be profitable
• Past performance of strategies does not indicate future results
• Market conditions can cause strategies to perform differently than backtested results
• You are solely responsible for all trading decisions and outcomes
• Trade Gemini is not a SEBI-registered investment adviser or portfolio manager

8. Prohibited Uses

You agree not to:

• Use the platform for any illegal activity under Indian law
• Attempt to reverse engineer, copy, or replicate the trading algorithms
• Share your account credentials with others
• Use automated bots, scrapers, or scripts to abuse the platform API
• Provide false capital amounts to manipulate fee calculations
• Attempt to circumvent billing, subscription, or fee mechanisms

9. Intellectual Property

All platform software, algorithms, UI designs, and content are the intellectual property of SSSP BUSINESS SOLUTIONS. You are granted a limited, non-exclusive, non-transferable licence to use the platform for personal trading purposes only. No other rights are granted.

10. Limitation of Liability

To the maximum extent permitted by law, Trade Gemini and SSSP BUSINESS SOLUTIONS shall not be liable for:

• Trading losses incurred while using the platform
• Loss of data, profit, or business opportunities
• Platform downtime caused by maintenance, broker API failures, or third-party services
• Incorrect trade execution caused by broker-side rejection or market circuit breakers

Our total aggregate liability to you for any claim shall not exceed the platform fees paid by you in the 3 months preceding the claim.

11. Suspension & Termination

• We may suspend or terminate your account for violation of these Terms
• We may suspend automated trading if we detect unusual activity or potential risk
• You may close your account at any time by contacting info.tradegemini@gmail.com
• On termination, API keys stored by us are deleted; outstanding fees remain due

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India. Before initiating legal proceedings, both parties agree to attempt resolution via good-faith negotiation or mediation.

13. Changes to Terms

We may update these Terms at any time. We will notify you by email or in-platform notice at least 7 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
